B2B Terms & Conditions of Sale

These Terms and Conditions govern the purchase of goods ("Goods") from All Square GRP Ltd, a company registered in England and Wales under company number [Insert Company Number], with its registered office at [Insert Address] ("we", "us" or "our"). By placing an order, accepting a quotation, or receiving delivery of the Goods, you ("you" or "the Buyer") agree to be bound by these Terms and Conditions, which form the entire agreement between us unless agreed otherwise in writing.

Interpretation

  • A "business day" is any day other than a Saturday, Sunday, or public holiday in England and Wales.

  • Headings are for convenience and do not affect interpretation.

  • Singular includes plural and vice versa.

Goods

  • Goods are described in our quotation and sales documentation. All descriptions are indicative and not contractually binding unless confirmed in writing.

  • We may amend specifications to comply with applicable safety or regulatory requirements.

Pricing

  • Prices are as set out in our quotation or otherwise agreed in writing.

  • Prices may increase prior to delivery due to factors beyond our control (e.g. raw material or transport costs, exchange rates). Any such changes will be communicated in advance.

  • All prices are inclusive of packaging, delivery, and VAT unless otherwise stated.

Payment

  • All orders must be paid for in full at the time of order. We do not offer credit accounts.

  • Time of payment is of the essence.

  • All payments must be made in GBP unless agreed otherwise in writing.

  • Payments must be made in full without set-off or withholding unless required by law.

Delivery

  • We will deliver to the address specified in your order or agreed in writing.

  • Delivery may take place any time between 8am and 6 pm. If no delivery address is provided, you must collect the goods.

  • If you fail to take delivery, we may charge storage and redelivery costs, or dispose of the Goods after 10 business days and charge for any resulting shortfall.

  • Delivery dates are estimates. We are not liable for delays caused by circumstances beyond our control.

  • We may deliver in instalments; each instalment will be treated as a separate contract.

Inspection and Acceptance

  • Goods must be inspected on receipt. Any damage or shortages must be reported in writing within 2 business days.

  • Returns will only be accepted if Goods are proven to be defective and inspected where necessary.

  • Where accepted, we may offer a repair, replacement, or credit.

  • We will not be liable where:

    • You fail to report defects within the time stated.

    • Goods have been used or installed after a defect was noticed.

    • Damage is caused by misuse, negligence, or failure to follow our instructions.

  • Unwanted goods are not generally returnable. Where agreed, returns will be credited (not refunded) by way of a 12-month credit note.

Risk and Title

  • Risk passes on delivery or collection.

  • Title passes only upon full payment for the Goods and any other outstanding payments due.

  • Until the title passes, you must store the Goods safely, maintain their condition, and keep them insured.

  • We reserve the right to recover unpaid Goods from your premises if not returned promptly on request.

Termination

We may terminate the agreement if:

  • You breach your obligations under these terms.

  • You become insolvent or enter liquidation or administration.

  • You convene meetings with creditors or are subject to bankruptcy proceedings.

Liability

  • Our liability is limited to the total Price of the Goods.

  • We are not liable for:

    • Indirect or consequential loss.

    • Loss of profit, business, data, or goodwill.

    • Any delay or failure due to events outside our control.

    • Loss resulting from your failure to meet your obligations.

  • Nothing in these terms limits our liability for death, personal injury due to negligence, fraud, or matters we cannot legally exclude.

Communications

  • Notices must be in writing and sent by email, post, or courier to the most recent address provided.

  • Notices are deemed received when:

    • Delivered by courier: at the time of delivery.

    • Sent by email: on confirmation of successful transmission.

    • Sent by post: 2 business days (UK) or 10 business days (international) after posting.

Data Protection

  • When processing personal data, All Square GRP Ltd acts as a data processor under UK GDPR.

  • We will only process personal data as necessary to fulfil our obligations and will not retain data beyond what is required.

Force Majeure

Neither party will be liable for any delay or failure in performance due to events beyond their reasonable control, including natural disasters, industrial action, or governmental restrictions.

No Waiver

No waiver of any term or breach will be considered a waiver of any subsequent breach.

Severance

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in force.

Governing Law and Jurisdiction

These Terms are governed by English law. Disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
